Dedicated asset operating and management platform
Most of the funds' portfolio assets are managed through Sekura India Management Limited, which as of the date of the Red Herring Prospectus oversees the Real Assets portfolio across infrastructure, commercial real estate and energy operations in 16 states in India. The asset operating and management team comprised 58 operational team members as of June 30, 2026, maintaining an active on-ground presence at sites for 24×7 operations, monitoring and risk management. Sekura's processes are validated through independent ISO audits and accreditations including ISO 14001:2015 for environment management, ISO 45001:2018 for occupational health and safety, ISO/IEC 27001:2013 and ISO/IEC 27001:2022 for information security, and ISO 55001:2014 for asset management. Led by a seasoned management team with extensive industry experience
The senior management team has an average of approximately 26.12 years of experience in alternative asset management, investment and risk management functions, and its members have been associated with the entities under the Promoter and its subsidiaries for an average of about 5.45 years, which the company attributes to stability in day-to-day management and operations. Most Key Managerial Personnel and Senior Management receive a portion of the Variable Additional Return, aligning their compensation with fund performance and serving as a retention mechanism. The team's track record across key sub-verticals supports both predictable management fee cash flows and Variable Additional Return earned on funds launched across different vintages. The company positions this structure as a tool for alignment between the investing team, the company and its clients rather than purely as a retention strategy.
Key Risks
-
A large and rising share of income comes from accrual-recognised Variable Additional Return
Variable Additional Return accounted for 30.14%, 24.25% and 16.19% of Total Income in Financial Years 2026, 2025 and 2024 and 32.41% in the three months ended June 30, 2026, and is recognised on an accrual basis a minimum of three years after a fund's initial close, contingent on performance reaching at least 1.25 times the hurdle rate. Of the cumulative ₹ 684.72 Crore recognised from Financial Year 2024 to June 30, 2026, only ₹ 397.65 Crore has been realised, and net of related cost the cumulative figure falls to ₹ 225.84 Crore. Actual cash receipts depend on the timing of realisation events and fund-level distribution waterfalls that are largely outside the company's control, so there may be significant periods in which income is recognised without corresponding cash proceeds.
-
No directly comparable Indian listed peers
The company states that it does not have directly comparable Indian listed peers, and that while the CARE Report identifies 360 One WAM, Aditya Birla Sun Life AMC, Anand Rathi Wealth, Gaja Alternative Asset Management, HDFC Asset Management, ICICI Prudential Asset Management, Nippon Life India Asset Management, Nuvama Wealth Management and UTI Asset Management as a peer group, they are not completely comparable owing to differences in business operations. The absence of comparable peers removes the usual valuation benchmark, and the company acknowledges that multiples drawn from non-comparable entities may result in either undervaluation or overvaluation and that investors may require a higher risk premium.
-
Negative operating cash flows in two of the last three Financial Years
Net cash used in operating activities was ₹ 120.17 Crore in Financial Year 2025 and ₹ 13.27 Crore in Financial Year 2024, against net cash generated of ₹ 235.24 Crore in Financial Year 2026 and ₹ 130.38 Crore in the three months ended June 30, 2026, despite profit before tax of ₹ 284.31 Crore and ₹ 212.69 Crore in Financial Years 2025 and 2024 respectively. The company attributes the negative cash flows to utilisation of free cash for general partner investments in its own funds and payouts to distributors for raising new funds, and warns that prolonged negative cash flows could delay strategic initiatives, reduce its ability to commit capital to new and existing funds and force it to secure additional funding at higher interest expense.
-
A substantial pre-IPO dividend has been paid out of the business
The Company declared an interim dividend of ₹ 32.00 per Equity Share, aggregating ₹ 205.70 Crore, on 6,42,80,246 Equity Shares in Fiscal 2026, at a declared rate of 640%, having declared no dividend in Fiscal 2025 or Fiscal 2024. A further interim dividend of ₹ 9.50 per Equity Share, aggregating ₹ 61.07 Crore, was declared on July 30, 2026. The Company cautions that the quantum paid in Fiscal 2026 and thereafter was significantly higher than its historical dividend practice and should not be considered indicative of its Dividend Policy or of future dividend payments.

Conclusion
EAAA India Alternatives is a strong business with a clear lead in India’s alternatives space. It has over 17 years of experience in real assets and private credit. Fee-paying AUM grew at a 23.43% CAGR to ₹44,710 crore in FY26. Profit rose from ₹175 crore in FY24 to ₹265 crore in FY26. RoE is healthy at about 26%. The client base is wide, with 11,009 relationships, and Sekura adds strong on-ground control of assets.
Still, there are concerns. About 38% of income depends on fund performance. A large part of the carry is booked but not yet received in cash. Cash flow from operations was negative in two of the last three years. The company also has no true listed peer, so pricing is hard to judge.
At the upper band, the issue is priced at about 41 times FY26 earnings and over 9 times book value. This looks slightly stretched. Weak market conditions could also put pressure on the share price after listing.
The whole issue is an Offer for Sale. The company gets no funds for growth, as all proceeds go to the promoter. Hence, we suggest investors avoid this issue for now. However, the company is worth tracking for future investment decisions.
