If you choose not to tender your shares, your holding remains exactly as it is. Nothing is deducted or changed in your DEMAT.
However, since the total number of shares in circulation reduces after the buyback, your percentage ownership in the company increases slightly even though your share count stays the same.
Whether holding makes sense over tendering depends on your view of the stock’s value relative to the buyback price.
