IRFC OFS & External Commercial Borrowing
Indian Railway Finance Corporation (IRFC) informed that the Government of India will not exercise the oversubscription (green shoe) option under its ongoing Offer for Sale. Due to under-subscription in the base offer, the divestment will remain restricted to 2 percent equity (up to 26.13 crore shares) at a floor price of ₹104 per share.
Separately, IRFC executed a loan agreement with a consortium of Sumitomo Mitsui Banking Corporation and MUFG Bank (GIFT City branches) to raise a JPY-denominated External Commercial Borrowing equivalent to $400 million. The proceeds are intended for financing railway-linked infrastructure projects.
This combination of equity divestment and overseas borrowing places IRFC among the prominent stocks to watch out today in the railway financing segment.

Following the allotment of over 85 crore shares, Reliance Intelligence now holds a 70 percent stake in REIL, while Facebook holds 30 percent. Consequently, REIL has transitioned from being a wholly owned step-down subsidiary to a step-down subsidiary of the company.
The restructuring reflects strategic collaboration within the digital and intelligence ecosystem.
