The Yaap Digital IPO listing saw a muted start in the stock market on March 5. Shares of Yaap Digital Limited debuted on the National Stock Exchange of India SME platform at ₹127 per share, marking a 12.4% discount compared to the IPO issue price of ₹145.

In total, the company received bids for 1.56 crore shares, compared with 4.26 lakh shares available in the offer.

The subscription numbers showed participation across investor segments, with the strongest demand coming from institutional investors.

Yaap Digital IPO Details

The Yaap Digital IPO was launched as an SME public offering with a total issue size of ₹80.11 crore.

The issue structure consisted entirely of a fresh issue of shares, meaning the funds raised will go directly to the company.

How the Company Plans to Use IPO Funds?

A large portion of the funds raised from the Yaap Digital IPO has been earmarked for growth initiatives and operational expansion.

Breakdown of planned utilisation:

  • ₹34 crore – Part payment for the proposed acquisition of GoZoop Online Private Limited
  • ₹4.01 crore – Capital expenditure to set up an AI-led Short-Form Content Production Hub (ACP Hub)
  • ₹16 crore – Incremental working capital requirements
  • ₹14.77 crore – Funding inorganic growth initiatives and general corporate purposes

Overall, the company intends to use ₹68.77 crore from the IPO proceeds across these areas.

Investment Structure of the SME IPO

The Yaap Digital IPO followed the standard structure for SME offerings, including a defined lot size for investors.

  • Minimum investment: Around ₹2,90,000 at the upper price band

Before the public issue opened, the company also raised ₹22.81 crore from anchor investors on February 24.

This is with reference to communication received from SEBI/Exchanges stating that some fraudster entities have been operating throughout India and sending bulk messages to the clients trading on the recognized stock exchanges on the pretext of providing investment tips and luring with hefty profits, all clients are requested not to get carried away by luring advertisements, rumours, hot tips, explicit/ implicit promise of returns, etc.

The modus operandi observed is that once a client pays amount to them, huge profits are shown in his account online inducing more investment. However, they stop responding when client demands return of amount invested and profit earned.
