Ambuja Cements and ACC

Ambuja Cements received board approval for two Schemes of Amalgamation that will merge ACC and Orient Cement into Ambuja, creating a unified cement platform under the Adani Group. The restructuring is designed to streamline operations, consolidate capacities, and improve capital efficiency across the group’s cement business.

Under the approved swap ratios, eligible shareholders of ACC will receive 328 equity shares of Ambuja for every 100 shares held, while shareholders of Orient Cement will receive 33 Ambuja shares for every 100 shares held. The scheme remains subject to regulatory and tribunal approvals, including clearance from the National Company Law Tribunal.

Lloyds Enterprises

Lloyds Enterprises announced a composite scheme of arrangement involving consolidation of its real estate interests, followed by the demerger of the unified business into a newly formed entity, Lloyds Realty. The proposed restructuring is aimed at creating a focused, independently listed real estate platform.

Technology, Software and Digital Expansion

HCL Technologies

HCL Technologies disclosed that its software arm, HCLSoftware, intends to acquire Jaspersoft, an embedded analytics and reporting business of Cloud Software Group, for $240 million. Jaspersoft provides pixel-perfect reporting and analytics solutions used by enterprises globally.

In a separate transaction, HCLSoftware also plans to acquire Wobby, a Belgium-based early-stage startup specialising in AI-powered data analyst agents, for €4.5 million. These acquisitions strengthen HCLTech’s portfolio in enterprise analytics and generative AI-led data intelligence.

Newgen Software Technologies

Newgen Software Technologies secured an order valued at ₹16.53 crore for the supply, customisation, implementation, and maintenance of a digital lending platform. The contract adds to the company’s presence in financial technology solutions.

GPT Infraprojects

GPT Infraprojects, in consortium with ISCPPL, emerged as the lowest bidder for a ₹670 crore project awarded by the National Highways Authority of India. The project involves construction of a four-lane elevated road in Jodhpur city under the Hybrid Annuity Model, enhancing the company’s highways order book.

Antony Waste Handling Cell

Antony Waste Handling Cell’s subsidiary, Antony Lara Enviro Solutions, received a contract worth approximately ₹329 crore from the Thane Municipal Corporation. The project involves development of a mixed solid-waste processing plant with a capacity of 600–800 tonnes per day at Bhiwandi, Maharashtra.

Ahluwalia Contracts (India)

Ahluwalia Contracts secured a large EPC order valued at ₹888.38 crore from Bihar State Tourism Development Corporation. The contract covers construction and development of the Shri Ram Janmabhoomi Tirtha Kshetra at Punauradham, Bihar.

Saatvik Green Energy

Saatvik Green Energy announced that its subsidiary, Saatvik Solar Industries, has received an order worth ₹486 crore from a leading independent power producer or EPC player for the supply of solar photovoltaic modules. The order supports ongoing capacity utilisation in the domestic solar manufacturing segment.

Sanghvi Movers

Sanghvi Movers’ renewable energy arm, Sangreen Future Renewables, secured balance-of-plant EPC orders aggregating ₹428.72 crore from domestic power producers. The orders cover wind projects with a combined capacity exceeding 270 MW.

Supreme Petrochem

Supreme Petrochem informed exchanges that operations at its newly commissioned mABS plant at Amdoshi, Maharashtra, have been temporarily suspended due to malfunctioning of critical equipment. The company stated that corrective measures are underway.

Indian Railway Catering and Tourism Corporation
